RACE FOR FURNITURE LIMITED trading as RACE FURNITURE
CONDITIONS OF TRADING

1. APPLICABILITY OF CONDITIONS

(a) These conditions will govern and form part of every contract for the sale of goods by Race Furniture ("the Seller") and any
conditions contained in Customer's Contract Order Forms or otherwise, shall only apply in so far as they are not inconsistent with
these conditions.
(b) Any variation, cancellation or waiver of these conditions will be valid only if made in writing and signed by a director of the
Seller.


2. ORDER AND ACCEPTANCE

(a) A contract shall be in place between the Seller and the Customer once the Customer has signed the Customer Contract Order
Form; the Customer has provided the deposit as indicated overleaf which is cleared to the Seller and there has been no
notification to the Customer that the Seller cannot meet the Customer's requirements.
(b) Should the Customer want to cancel or alter the Order costs may be incurred. On cancellation costs of up to the whole of the
Order may be payable. In the case of alteration, the amount will be that notified to the Customer.


3. PRICE, PAYMENT AND STORAGE

(a) All prices include Value Added Tax at the current rate unless otherwise stated.
(b) Payment of the full price less any deposit paid shall be made by the Customer to the Seller before the agreed date of delivery
or within 7 days of being notified that the goods are available for delivey, whichever is the sooner. Where the goods are available
for delivery before the guideline delivery date shown on the Contract Order payment of the balance should be made within 7 days
after the guideline delivery date. These conditions shall apply to each consignment where goods are delivered in separate
consignments.
(c) Any goods left in storage with the Seller for more that 7 days after the Seller has notified the customer that they are available
for delivery or collection, may be subject to a storage charge. All goods held in storage shall be fully paid for.
(d) No balances of amounts owing can be paid by Access or Visa or other credit cards when prices have been quoted on a cash
basis. Cash prices are final and include all discounts negotiated at the time of sale. No further discounts can be allowed.
(e) 10% of the Total payable by the Customer to the Seller represents the Seller's costs in processing the Customer's Order and is
not refundable.


4. DELIVERY

(a) The Seller will make every effort to deliver goods from stock by the delivery date advised, or within a reasonable period
thereafter. Delivery dates for goods manufactured to the Customer's Order will be advised and agreed as approximate only. Any
delays beyond those dates as advised by the manufacturer will be notified to the Customer and agreed if possible. Should the
manufacturer be unable to deliver within a reasonable period, the Customer may cancel the Order.
(b) Where goods are delivered by the Seller's own transport, the Seller accepts no liability for shortage or transit damage unless
notified within 1 week of delivery.
(c) The Seller will only be liable for damage or loss suffered as a result of the negligence of the Seller or the Seller's employees,
servants or agents or their failure to carry out the delivery with reasonable care and skill.
(d) It is the Customer's responsibility to ensure that the goods can be delivered without risk of loss or damage to your chosen
location. The delivery team may consider that delivery to the chosen location may result in damage to the Customer's property. In
such circumstances the team will inform the Customer or the Customer's representative and delivery will continue only if the
Customer agrees.


5. RISK AND TITLE


Goods supplied by the Seller shall be at the Customer's risk immediately on delivery to the Customer or in to custody on the
Customer's behalf (whichever is the sooner) and the Customer should therefore insure accordingly. Property in goods supplied
under these conditions, will pass to the Customer on payment of all debts owed by the Customer to the Seller on any account
whatever and in the period from delivery until such payment is cleared in full to the Seller the goods shall be held for the Seller.


6. DESCRIPTION AND QUALITY

(a) Any illustration or statement in the Seller's catalogues, sales literature or advertisements and any specification, drawing or
dimensions, whether supplied by the seller or the customer, shall be treated as a guide only. The Seller will do its best to supply
goods that correspond with any sample or description provided. Where the manufacturer or the Seller introduces changes which
cause the goods not to correspond with the description or sample the Seller shall notify the Customer whereupon the Customer
may withdraw from the contract by written notice within 7 days of such notification.
(b) The Seller shall not be liable for any loss, injury or damage or for any consequence of such loss, injury or damage from the use
of the goods for purposes other than their intended function and limits of weight, except for the Seller's negligence or that of its
employees, agents or sub-contractors.


7. ENGLISH LAW

Unless otherwise agreed in writing, these conditions shall be subject to English Law.
